1. Description of Service

ShopSynch provides an API-first e-commerce backend, a merchant dashboard, customer-facing product listing pages, and tools (including a WhatsApp Bot and PWA) for generating checkout links and managing orders.

2. User Accounts

To use certain features of the Service, you must register for an account and provide a valid bank account number for funds settlement. You are responsible for:

• Providing accurate and complete information.
• Maintaining the security of your account credentials.
• All activities that occur under your account.

3. WhatsApp Bot and PWA Usage

Merchants may use our WhatsApp Bot or PWA to generate checkout links for customers. Merchants are responsible for the content of messages sent via the WhatsApp Bot.

4. Fees, Payments, and Settlement

• Pricing Model: ShopSynch charges either a percentage-based fee or a flat fee per transaction, as specified in your chosen plan.
• Payment Processing: All payments are processed through authorized third-party payment gateways (e.g., Paystack, Monnify, Flutterwave).
• Settlement: Funds from successful transactions, minus applicable ShopSynch fees and payment gateway charges, will be settled into the bank account number provided by the merchant. Settlement occurs after the third-party payment gateway completes its processing cycle.

5. API Usage and Restrictions

We grant you a limited, non-exclusive, non-transferable license to access and use the ShopSynch API for your business purposes. You agree NOT to:

• Use the API in any way that violates applicable laws.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the API for any form of unauthorized data scraping or "crawling."
• Exceed the rate limits or usage quotas associated with your plan.

6. Intellectual Property

ShopSynch and its original content, features, and functionality are and will remain the exclusive property of ShopSynch and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Limitation of Liability

To the maximum extent permitted by law, ShopSynch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, resulting from your access to or use of the Service or delays in settlement caused by third-party payment processors.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

8. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect by posting the changes on this page.
